Terms and Conditions

General Terms and Conditions of Sale:

  1. All orders and sales are governed by our general terms and conditions of sale. Deviations are only valid if confirmed in writing.

  2. Our quotations are non-binding and only become valid if expressly accepted in writing by our company.

  3. Acceptance of orders is only final subject to approval and delivery by our suppliers.

  4. Strikes, lock-outs, production or transport delays, etc., give us the right to cancel the order or its remaining balance.

  5. Delivery times are given as an indication only and delays shall not give rise to any compensation or cancellation of the order.

  6. Goods are considered accepted upon delivery. The customer receives the goods directly from the truck and is responsible for ensuring access to their premises.

  7. We reserve the right to deliver the goods only after receiving the advance payment made upon acceptance or order.

  8. The customer acknowledges understanding the technical specifications, capabilities, and limitations of the goods that are the subject of the agreement.

  9. In case of a material defect or manufacturing fault, our liability is limited, at our discretion, to the repair or replacement of the defective goods. We shall not be liable for any direct or indirect loss or damage caused to persons or property.

  10. Goods are shipped at the buyer’s risk, even if sold free of charge (delivered duty paid).

  11. Complaints will only be accepted if submitted in writing within three days of receiving the goods.

  12. Our invoices are payable in cash without any discount at our registered office, unless otherwise agreed in writing.

  13. In case of non-payment of an invoice, interest of 2.50% per month is due by law from the invoice date, without prior notice. Failure to pay by the due date renders all other outstanding amounts immediately payable, even if payment terms had previously been granted. In case of non-payment, we reserve the right to issue a bill of exchange to the debtor, without this constituting a waiver of our general terms and conditions. We also reserve the right to cancel the remaining balance of any order in case of default.

  14. In case of full or partial non-payment of a debt on the due date, a fixed compensation of 15% of the principal amount is due, with a minimum of €500 per invoice.

  15. Delivered goods remain our exclusive property until full payment is received. The customer may not transfer or encumber the goods, in whole or in part, until full payment has been made. In the event of non-payment, we reserve the right to reclaim the goods.

  16. The sale of rolling stock and vehicles is made in the condition they are in, known by the buyer. No warranty applies.

  17. In the case of printed materials or documents for commercial purposes, all designs, concepts, electronic content, executions, and printing films remain the sole property of Indupack bvba. Any manipulation of existing materials will result in reproduction rights according to SOFAM standards. The user must always have written permission from Indupack bvba. Without such permission, we reserve the right to demand that the materials be destroyed under our supervision.

  18. This agreement is governed exclusively by Belgian law. The courts of Hasselt have sole jurisdiction over any disputes.

  19. Our general terms and conditions of sale take precedence in the event of differing or conflicting provisions on the customer’s documents.

  20. Only the characteristics and descriptions of the goods mentioned in our quotations are valid. All other information found in catalogues, samples, photos, sketches, plans, or other documents is provided for information purposes only. We reserve the right to modify our products at any time without incurring any liability.

  21. Our prices are based on the cost structure at the time of quotation. They may be adjusted if these factors change during the execution of the order.

  22. Title of ownership is transferred only upon full payment.

  23. Any indications of residual value for recycling purposes are purely indicative and are calculated based on the current raw material prices, with delivery by the customer to our recycling partners on the date of return.

  24. No tools, equipment, molds, or technical data, even if invoiced, are transferred to the customer. They remain the property of our company and are maintained by us. If unused for a period of three years, we reserve the right to dispose of them freely.

  25. Customer protection is granted in writing for a period of 60 days and is only valid if exclusively Indupack bvba products are offered. After 60 days, we reserve the right to conduct direct commercial activities without third-party consent.
